1. Acceptance of Terms

By accessing or using the WA.Starbuz platform (operated by Starbuzz Digimark), including our website, APIs, and related services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use our Services. These Terms constitute a legally binding agreement between you ("User", "you") and Starbuzz Digimark ("Company", "we", "us").

2. Eligibility

• You must be at least 18 years of age
• You must have the legal authority to enter into binding agreements
• If registering on behalf of a business, you must be authorised to bind that entity
• Your use must comply with all applicable Indian laws and regulations

3. Services Description

WA.Starbuz provides a WhatsApp Business API platform that enables businesses to send messages, automate conversations, manage customer interactions, process payments, and integrate with third-party tools. We are an Official Meta Tech Provider. Our Services are subject to Meta's (WhatsApp) policies and guidelines.

4. Account Registration & Security

• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your credentials
• You must notify us immediately of any unauthorised access
• We reserve the right to suspend accounts that violate these Terms
• One business entity may maintain multiple accounts with prior approval

5. Acceptable Use Policy

You agree NOT to use our Services to:

• Send spam, unsolicited messages, or bulk messages without proper consent
• Violate WhatsApp's Business Policy or Commerce Policy
• Transmit harmful, offensive, misleading, or illegal content
• Impersonate any person or entity
• Attempt to gain unauthorised access to our systems
• Use the platform for illegal activities including fraud, phishing, or money laundering
• Resell or redistribute our Services without written consent
• Send messages related to prohibited categories (gambling, adult content, drugs, weapons)

6. Pricing & Payments

• Subscription plans are billed monthly or annually as selected
• All prices are in Indian Rupees (₹) and exclusive of applicable GST (18%)
• WhatsApp conversation charges are billed separately as per Meta's pricing
• Payments are processed securely through Razorpay/Cashfree
• Failed payments may result in service suspension after a 3-day grace period
• We reserve the right to modify pricing with 30 days' prior notice

7. Intellectual Property

All content, features, and functionality of WA.Starbuz (including software, text, graphics, logos, and design) are owned by Starbuzz Digimark and are protected by Indian and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission. You retain ownership of your data and content uploaded to the platform.

8. Data Ownership & Privacy

• You retain full ownership of your customer data and business content
• We process your data as described in our Privacy Policy
• You are responsible for obtaining necessary consents from your customers
• We will not use your customer data for our marketing purposes
• Upon account termination, you may request data export within 30 days

9. Service Availability & SLA

We strive to maintain 99.9% platform uptime. However, we do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by Meta/WhatsApp infrastructure, force majeure events, or third-party service failures.

10. Limitation of Liability

To the maximum extent permitted by Indian law, Starbuzz Digimark shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

11. Termination

• You may cancel your subscription at any time from your account settings
• We may suspend or terminate accounts for violation of these Terms
• Upon termination, your access to the platform will be revoked
• Data export is available for 30 days post-termination
• Prepaid fees for unused periods are subject to our Refund Policy

12. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra. We encourage resolving disputes through mutual discussion before pursuing legal remedies.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notification at least 15 days before they take effect. Continued use after changes constitutes acceptance.
